By accessing or using SUBCREWZ ("we," "our," or "us"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these Terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use our Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

SUBCREWZ is a platform that enables subcontractors to create and maintain professional compliance profiles. Our Service allows you to:

• Create and manage your professional profile
• Upload and manage compliance documents (licenses, insurance, workers' compensation, certificates, bonds)
• Share your profile with General Contractors
• Receive reviews and ratings from General Contractors
• Access automatic alerts and reminders for document renewals with priority-based alert system

3.1 Account Registration

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

4.1 Subscription Plans

We offer the following subscription plan:

• Subcrewz - Subcontractor Plan: $29 per month. This plan includes:
  • Compliance profile
  • Secure document hosting
  • Tool for expiration alerts
  • Shareable compliance link for General Contractors
  • Full company profile

4.2 Billing

Subscriptions are billed monthly. All payments are processed securely through Stripe.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly) unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellation will take effect at the end of your current billing period, and you will retain access to all features until that time.

4.4 Refunds

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us. Refunds for subscriptions may be prorated based on the remaining time in your billing period.

5.1 Content You Provide

You retain ownership of all content you upload to our Service, including documents, photos, and profile information. By uploading content, you grant us a license to:

• Store, display, and distribute your content through our Service
• Use your content to provide and improve our Service
• Display your public profile to General Contractors and other users

5.2 Content Standards

You agree not to upload, post, or transmit any content that:

• Is illegal, harmful, or violates any laws or regulations
• Infringes on the rights of others, including intellectual property rights
• Is false, misleading, or fraudulent
• Contains viruses, malware, or other harmful code
• Is defamatory, obscene, or offensive

5.3 Document Accuracy

You are solely responsible for ensuring that all documents and information you upload are accurate, current, and valid. We do not verify the accuracy of documents, but we reserve the right to remove or flag content that appears to be fraudulent or inaccurate.

You agree not to use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To collect or track the personal information of others
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Service

The Service and its original content, features, and functionality are owned by SUBCREWZ and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through your account settings.

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBCREWZ, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

We are not responsible for:

• The accuracy or validity of information provided by users
• Decisions made by General Contractors based on profile information
• Any business relationships or transactions between users
• Loss or damage resulting from expired or invalid documents

You agree to defend, indemnify, and hold harmless SUBCREWZ and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
